AiLab Couch to AI Terms & Conditions

These Terms and Conditions apply to bookings for Couch to AI, an online training programme provided by AiLab (Artificial Intelligence Laboratory) Limited.
1. Definitions
In these Terms and Conditions:
AiLab, we, us or our means AiLab (Artificial Intelligence Laboratory) Limited.
Attendee, you or your means the individual attending the Programme.
Booking means a confirmed booking for a place on the Programme.
Booking Confirmation means the email or written confirmation issued by AiLab confirming your place on the Programme.
Client means the person, business, charity, public sector body, organisation or other entity making the Booking, whether for themselves or on behalf of one or more Attendees.
Fees means the fees payable for the Programme, as set out on the relevant booking page, invoice, proposal or Booking Confirmation.
Private Cohort means a dedicated Programme cohort booked by or for a specific organisation, group or team.
Programme means the Couch to AI online training programme, including any named level, cohort, live online sessions, supporting materials, online tools and associated online community access, where applicable.
Programme Materials means any slides, worksheets, templates, examples, documents, prompts, recordings, digital resources, online tools or other materials made available by AiLab as part of the Programme.
Start Date means the date of the first live online session for the relevant Programme cohort.
Terms means these Couch to AI Online Workshop Terms & Conditions.
2. About Couch to AI
Couch to AI is a live online training programme designed to help Attendees build practical understanding, confidence and capability in using and adopting artificial intelligence.
Unless otherwise stated, each level of Couch to AI is delivered over five weeks, with one live online session per week.
The Programme is educational and practical in nature. It is not legal, financial, regulatory, technical implementation, procurement, compliance or professional advice.
3. Booking and Acceptance
A Booking is an offer by the Client or Attendee to purchase a place on the Programme.
A Booking is accepted only when AiLab issues a Booking Confirmation or otherwise confirms acceptance in writing.
AiLab reserves the right to refuse a Booking where the Programme is full, payment has not been received, the Booking information is incomplete or inaccurate, or there is another reasonable basis for refusal.
Where a Client books places on behalf of Attendees, the Client is responsible for ensuring that each Attendee is aware of and complies with these Terms.
4. Fees and Payment
The Fees for the Programme will be stated on the relevant website page, booking page, proposal, invoice or Booking Confirmation.
Unless otherwise stated, Fees are inclusive of VAT where applicable.
For standard public cohort bookings, payment is usually required at the point of booking.
For Private Cohorts, multiple-attendee bookings or organisation bookings, AiLab may agree to issue an invoice.
Where AiLab issues an invoice, payment must be made by the date stated on the invoice. If no payment date is stated, payment is due within 14 days of the invoice date or before the Start Date, whichever is earlier.
AiLab may refuse access to the Programme, Programme Materials, online tools or online community until payment has been received.
AiLab may change published prices from time to time. Price changes will not affect Bookings already confirmed, unless agreed in writing.
5. Delivery Format
The Programme is delivered live online using a video conferencing platform, online learning platform, community platform or other digital platform selected by AiLab.
AiLab will provide reasonable information about how to access the live sessions before the Start Date.
The Attendee is responsible for ensuring they have:
a) a suitable internet connection;
b) a compatible device;
c) access to any required online platform;
d) a working microphone and, where appropriate, camera; and
e) a suitable environment from which to participate.
AiLab is not responsible for an Attendee’s failure to access or participate in the Programme due to issues with the Attendee’s device, internet connection, software, firewall, security settings, workplace restrictions or other technology outside AiLab’s reasonable control.
6. Attendance and Participation
The Programme is designed to be attended live and in sequence.
Attendees are responsible for attending each scheduled session. No refund, credit or partial refund will be provided for missed sessions, late arrival, early departure or non-attendance, except where required by law or agreed by AiLab in writing.
AiLab may provide reasonable support where an Attendee misses a session, but AiLab is not obliged to provide a replacement session, one-to-one catch-up session or recording unless this has been expressly stated in the Booking Confirmation.
Attendees are expected to participate respectfully and constructively. AiLab may remove an Attendee from a live session, online tool or online community where, in AiLab’s reasonable opinion, the Attendee’s behaviour is disruptive, abusive, discriminatory, unlawful, unsafe or otherwise inappropriate.
7. Certificate of Completion
Attendees who attend all five live sessions of the relevant Programme level will receive a certificate of completion.
Certificates are issued only to the named Attendee who attended the Programme.
AiLab may decline to issue a certificate where an Attendee has not attended all five sessions, has materially breached these Terms, or where payment has not been received.
A certificate of completion confirms attendance only. It does not represent formal accreditation, qualification, professional certification or endorsement of competence unless expressly stated by AiLab in writing.
8. Online Community Access
Where included as part of the Programme, Attendees will receive access to an online community platform.
Community access is provided to support peer-to-peer learning, discussion and questions relating to the Programme.
Unless otherwise stated, community access is included for three months from the Start Date.
AiLab may offer a paid option to continue community access after the initial three-month period. Continued access will be subject to any additional subscription terms, payment terms or community rules provided at that time.
Community access is personal to the Attendee and must not be shared with any other person.
AiLab may moderate, restrict, suspend or remove access to the online community where an Attendee breaches these Terms, breaches community rules, acts inappropriately or uses the community for unauthorised promotional, commercial or unlawful purposes.
9. Programme Materials and Online Tools
Programme Materials are provided for the personal learning and internal business use of the Attendee or Client.
All intellectual property rights in the Programme, Programme Materials, structure, content, examples, templates, prompts, frameworks, online tools and related materials remain owned by AiLab or its licensors.
You may not copy, reproduce, publish, distribute, sell, license, share, upload, adapt, train a model on, or otherwise make the Programme Materials available to any third party without AiLab’s prior written permission.
You may use Programme Materials internally within your own organisation for your own learning and practical application, provided that copyright notices are preserved and the materials are not shared externally, sold, repackaged or presented as your own.
Access to AiLab’s online tools is provided only for the purpose of participating in and supporting the Programme. You must not misuse, reverse engineer, copy, resell, scrape, overload, interfere with, or attempt to gain unauthorised access to those tools.
No rights are granted other than those expressly set out in these Terms.
10. Recordings
Attendees must not record, photograph, screenshot, livestream, transcribe or otherwise capture any live session, Programme content, Attendee contribution, online tool or online community content without AiLab’s prior written permission.
AiLab may record live sessions for quality, internal review, accessibility, training administration or future learning purposes.
Where AiLab intends to make a recording available to Attendees, this will be stated at the point of booking or communicated separately.
If a session is recorded, Attendees will be notified. Attendees who do not wish to appear in a recording should keep their camera off and avoid sharing personal, confidential or sensitive information during the session.
Recordings, where provided, are for personal learning use only and must not be shared, copied, downloaded, published or distributed unless AiLab gives written permission.
11. Third-Party Platforms and AI Tools
The Programme may include access to an online community platform, AiLab online tools, video conferencing software or other digital services.
Attendees may need to create an account or accept terms for certain platforms used to deliver or support the Programme.
The Programme may also include demonstrations or optional discussion of publicly available AI tools or third-party services. Unless expressly stated, Attendees are not required to purchase paid AI tools to participate in the Programme.
Attendees are responsible for reviewing and complying with the terms, privacy notices and data policies of any third-party tools or platforms they choose to use.
Attendees must not input confidential, personal, sensitive, proprietary or regulated information into any AI tool, online platform or third-party service unless they have the right to do so and have assessed that it is appropriate and lawful.
AiLab is not responsible for the performance, availability, outputs, policies, decisions, security, pricing or changes made by any third-party AI tool or platform.
AI-generated outputs should not be relied upon without appropriate human review. Attendees remain responsible for checking the accuracy, suitability, legality and appropriateness of any AI-generated output before using it.
12. Attendee Responsibilities
Attendees agree to:
a) provide accurate booking and contact information;
b) attend sessions on time where reasonably possible;
c) participate respectfully;
d) comply with platform rules and community guidelines;
e) keep access links, passwords and Programme Materials secure;
f) not share access with unauthorised people;
g) not infringe AiLab’s intellectual property rights;
h) not upload or share unlawful, offensive, confidential or infringing content;
i) use AiLab’s online tools responsibly; and
j) use AI tools and Programme guidance responsibly.
13. Substitutions
For organisation-paid bookings, the Client may request to substitute one Attendee for another before the Start Date.
Substitution requests must be made in writing and are subject to AiLab’s approval.
AiLab will usually allow a reasonable substitution at no additional cost where the request is made at least 48 hours before the Start Date and the substitute Attendee meets any relevant Programme requirements.
Once the Programme has started, substitutions are not permitted unless AiLab agrees in writing.
Individual consumer bookings are personal to the named Attendee and may not be transferred without AiLab’s written permission.
14. Transfers, Deferrals and Credits
An Attendee or Client may request to transfer a Booking to a later cohort of the same Programme or receive a credit towards a future Couch to AI cohort.
Transfer or credit requests must be made in writing and are subject to availability.
Unless otherwise agreed:
a) requests made 14 days or more before the Start Date may be accepted at AiLab’s discretion without an administration fee;
b) requests made less than 14 days before the Start Date may be refused or may be subject to an administration fee;
c) only one transfer or credit is permitted per Booking;
d) any credit must be used within 6 months of the original Start Date, unless AiLab agrees otherwise in writing; and
e) once a Booking has been transferred or converted into credit, it cannot later be cancelled for a refund unless required by law.
If the later cohort has a higher Fee, the Client or Attendee must pay the difference before the transfer is confirmed.
This credit/transfer approach is consistent with common UK training-provider practice, where transfer rights are usually time-limited, non-attendance is normally non-refundable, and substitute delegates may be allowed for organisation bookings.
15. Cancellation by the Client or Attendee
All cancellation requests must be made in writing.
For business, charity, public sector or organisation-paid bookings, AiLab does not usually provide refunds for cancellation. Instead, AiLab may offer a transfer or credit in accordance with clause 14.
For standard public cohort bookings:
a) cancellation or transfer request 14 days or more before the Start Date: AiLab may offer a transfer or credit;
b) cancellation or transfer request less than 14 days before the Start Date: AiLab may refuse the request or offer a transfer or credit at its discretion;
c) cancellation after the Programme has started: no refund, transfer or credit will be provided unless required by law or agreed by AiLab in writing;
d) non-attendance: no refund, transfer or credit will be provided.
For individual consumer bookings made online, statutory consumer cancellation rights may apply. Where applicable, consumers may have the right to cancel within 14 days of booking. However, where Programme access, digital materials, online tools, live sessions or community access begin during the 14-day cancellation period with the consumer’s consent, AiLab may be entitled to make deductions for services already provided, and cancellation rights may be limited where permitted by law.
AiLab should provide a separate consumer cancellation notice at checkout and, where appropriate, obtain express consent from consumers for access to live sessions, digital materials, online tools and community access to begin before the 14-day cancellation period expires.
16. Cancellation or Changes by AiLab
AiLab may cancel, postpone, reschedule or change the delivery of the Programme where reasonably necessary, including due to illness, emergency, low enrolment, technical failure, platform failure or circumstances outside AiLab’s reasonable control.
If AiLab cancels the Programme before it starts, Attendees will be offered either:
a) a place on a later cohort;
b) a credit towards a future Couch to AI cohort; or
c) a refund of Fees paid for the cancelled Programme.
If AiLab needs to reschedule an individual session, AiLab will use reasonable efforts to provide an alternative date or appropriate replacement arrangement.
AiLab may make reasonable changes to Programme content, session order, materials, examples, tools, platforms or delivery methods where this does not materially reduce the overall value of the Programme.
AiLab is not liable for travel, accommodation, childcare, loss of earnings, loss of opportunity or other indirect costs arising from cancellation, postponement or rescheduling.
17. Private Cohorts and Multiple-Attendee Bookings
Private Cohorts and multiple-attendee bookings may be subject to a separate proposal, invoice, booking form or statement of work.
These Terms apply to Private Cohorts and multiple-attendee bookings unless varied in writing by AiLab.
If there is any conflict between these Terms and a signed proposal, booking form or statement of work, the signed proposal, booking form or statement of work will take precedence to the extent of that conflict.
For Private Cohorts, the Client is responsible for providing accurate Attendee details, ensuring Attendees are available for the agreed dates and ensuring Attendees comply with these Terms.
Unless otherwise agreed in writing, Private Cohort dates may only be changed with AiLab’s written agreement.
18. Confidentiality
During the Programme, Attendees may hear comments, examples, questions or experiences shared by other Attendees.
Attendees must treat other Attendees’ contributions with respect and confidentiality.
Attendees must not share another Attendee’s personal information, business information, examples, questions, comments or contributions outside the Programme without that person’s permission.
AiLab may use anonymised and aggregated insights from the Programme to improve its services, provided that individual Attendees or organisations are not identified.
19. Promotional Use and Testimonials
AiLab may refer to the fact that the Programme has been delivered and may use general descriptions of the Programme for promotional purposes.
AiLab will not use an Attendee’s name, organisation name, photograph, video, identifiable quote or testimonial for promotional purposes without permission, unless such use has been separately agreed.
If an Attendee voluntarily provides a testimonial, review or feedback, AiLab may ask for permission to use it in marketing materials.
20. Data Protection
AiLab will process personal data in accordance with applicable UK data protection law and AiLab’s Privacy Policy.
Personal data may be used to administer Bookings, deliver the Programme, provide access to online sessions, online tools and community platforms, communicate with Attendees, process payments, issue certificates, and improve AiLab’s services.
Where a Client provides personal data about Attendees, the Client confirms that it has the right to provide that information to AiLab and has informed Attendees that their data will be shared with AiLab for Programme administration and delivery.
Where third-party platforms are used to deliver the Programme, online tools or community access, personal data may be processed by those platforms in accordance with their own terms and privacy notices.
Where AiLab processes personal data on behalf of a Client as processor, the parties may agree a separate data processing agreement if required.
21. Accessibility and Reasonable Adjustments
AiLab aims to make the Programme accessible and inclusive.
Attendees who require reasonable adjustments should contact AiLab as early as possible before the Start Date.
AiLab will consider reasonable adjustment requests in good faith, but cannot guarantee that all requested adjustments can be provided.
22. No Guarantee of Specific Outcomes
AiLab will deliver the Programme with reasonable care and skill.
However, AiLab does not guarantee that attendance will result in any specific business outcome, commercial result, technical capability, AI adoption outcome, regulatory compliance position, productivity gain or financial benefit.
The value obtained from the Programme will depend on factors including attendance, participation, organisational context, existing skills, available data, tools, policies, risk appetite and implementation decisions.
23. Limitation of Liability
Nothing in these Terms limits or excludes liability for death or personal injury caused by negligence, fraud, fraudulent misrepresentation, or any liability that cannot legally be limited or excluded.
Subject to the above, AiLab’s total liability arising out of or in connection with the Programme shall be limited to the Fees paid for the relevant Booking.
AiLab shall not be liable for indirect, consequential or special loss, loss of profit, loss of revenue, loss of business, loss of goodwill, loss of anticipated savings, loss of data, loss of opportunity, or loss arising from reliance on AI-generated output.
Where the Client or Attendee deals as a consumer, nothing in these Terms affects statutory consumer rights.
24. Force Majeure
AiLab will not be liable for delay or failure to perform its obligations where such delay or failure is caused by events outside its reasonable control.
This may include, but is not limited to, illness, emergency, internet outage, platform failure, cyber incident, power failure, industrial action, fire, flood, severe weather, pandemic, government restriction, supplier failure or other events beyond AiLab’s reasonable control.
25. Suspension or Removal
AiLab may suspend or remove an Attendee from the Programme, live session, online tool or online community if the Attendee:
a) breaches these Terms;
b) behaves in a disruptive, abusive, discriminatory or unlawful way;
c) shares access links or Programme Materials without permission;
d) records sessions without permission;
e) misuses the community platform or online tools; or
f) acts in a way that may damage AiLab, other Attendees or the integrity of the Programme.
No refund, credit or transfer will be due where an Attendee is removed for breach of these Terms.
26. Entire Agreement
These Terms, together with the Booking Confirmation and any written proposal, booking form or invoice issued by AiLab, form the entire agreement between the parties in relation to the Programme.
If there is any conflict between these Terms and a Booking Confirmation, written proposal, booking form or invoice, that document will take precedence only to the extent of that conflict.
No variation of these Terms is valid unless agreed in writing by AiLab.
27. Assignment
The Client or Attendee may not transfer, assign or otherwise deal with their rights or obligations under these Terms without AiLab’s prior written permission.
AiLab may transfer or subcontract its rights or obligations where this does not materially reduce the quality of Programme delivery.
28. Severance
If any part of these Terms is found to be invalid, unlawful or unenforceable, the remaining parts will continue in full force and effect.
29. Waiver
A failure or delay by AiLab in enforcing any part of these Terms does not prevent AiLab from enforcing that term later.
30. Governing Law and Jurisdiction
These Terms and any dispute or claim arising out of or in connection with them shall be governed by the laws of England and Wales.
The courts of England and Wales shall have exclusive jurisdiction, except where mandatory consumer law gives a consumer the right to bring proceedings in another UK jurisdiction.
The parties represent and warrant that, at the time of Company engagement, they are authorised to enter into this Agreement in its entirety, and duly bind their respective principals.
